Equity Compensation in 2025: Adapting to a New Era

Three years ago, in the wake of the COVID pandemic, we shared our thoughts and predictions on the evolving landscape of equity compensation with the New England NASPP Summit. Little did we know how much could change in such a short time. This year, with the arrival of a new presidential administration, it’s time to reassess the equity compensation landscape. Market volatility and other macroeconomic and social factors continue to influence equity incentives. Technologies such as artificial intelligence and digital assets are advancing rapidly, though their implications for our beloved industry aren’t always clear.

 

In this dynamic and sometimes chaotic environment, compensation professionals have been tasked with construction of new disclosures like pay vs. performance and are now forced to prepare for disaggregation of the income statement, which will dramatically impact the way compensation is presented in the company’s financials in years to come. Haley Houston, PwC
Haley Houston is a director in PwC’s Boston-based Workforce Transformation practice. She has more than 8 years of experience helping clients address complex organization transformation challenges, driven by disruption from digitization, regulation, business model changes, and cost pressures.

Haley partners extensively with PwC’s Cloud & Digital, Transformation Operations and Customer Transformation practices to help Fortune 500 clients navigate complex process- and technology-driven business transformations. Leveraging design thinking and agile principles Haley leads change management programs that help clients through their 'stickiest' change challenges. These programs include facilitating leadership alignment, vison setting, employee engagement and upskilling and measurement/benefits tracking around change management.

Before joining PwC, Haley served in Business Develop and Marketing roles with firms in the professional services sector including legal, consulting, and engineering.

Haley has a B.A. from Roger Williams University (cum laude) where she was a member of the International Honors Society - Phi Alpha Theta and an M.B.A. from Northeastern University, with a focus in Entrepreneurship and International Business.
Sharmon Priaulx, PwC
Sharmon Priaulx is a managing director in PwC’s Boston-based Workforce Transformation practice. She practices in the area of executive compensation and other employee benefits. Sharmon consults with boards and management on the development and technical operation of qualified and non-qualified deferred compensation plans and equity arrangements. She also advises on general tax matters that arise in the compensation area, such as fringe benefits, qualified retirement plans and related payroll issues. Her clients include public and private companies, financial services entities and multinational groups.

Prior to joining PwC, Sharmon practiced at a national law firm, advising clients on retirement, equity and employee benefit plans. Sharmon has been a law school guest lecturer and speaks at seminars on topics ranging from deferred compensation compliance to payroll issues.

Sharmon has a B.A. from Columbia University, Barnard College and a J.D. (cum laude) from Villanova School of Law, where she was a member of Phi Kappa Phi and the Order of the Coif. She is admitted to the bar in Massachusetts, Pennsylvania, New Jersey and Maryland.

Brooke Anderson is a Client Service Manager, Stock Plan Services and member of the Workplace Financial Services organization at Charles Schwab & Co.

For 25 years, Brooke’s primary focus has been client-facing equity compensation administration and education. Prior to joining Schwab, she worked with both public and private companies at Certent/Insightsoftware, and held various roles at Transcentive/Computershare before that. Her background also includes project management and relationship management.

Brooke is a Certified Equity Professional.
Christine Consolato, CPA, Market Axess
Christine Consolato is Head of Compensation Accounting & Policy at MarketAxess. In this role, she oversees the global payroll, equity administration and compensation accounting functions for the firm. Prior to joining MarketAxess, She worked in both public and private company roles at leading financial services firms including ExodusPoint, TPG, Evercore, and KPMG.
Jennifer Francis, CEP, Aon
Jen Francis is a Director with Aon Talent Solutions communications practice, specializing in employee education, video creation and print communications in the stock plan and total rewards space. Jen started in the industry in 2000 working with software service providers and the NASPP. During her career she has worked in several areas including: consulting, training, product strategy and product management.

Jen has been a speaker at the NASPP Annual Conference, the CEP Symposium, GEO conference, service provider user conferences, and local NASPP chapter meetings.

She holds a bachelor’s degree in accounting from Central Connecticut State University, and graduate degrees in Management and Business Administration from Albertus Magnus College. Jen earned her CEP designation in November 2005 and is a volunteer for the Certified Equity Professional Institute (CEPI), serving on the certification council for CEP Institute, and serves as the Treasurer for the CT NASPP Chapter.

Kenneth (Ken) Bonanno’s career as a globally accomplished and versatile professional spans more than 20 years in medical devices, defense and technology. He began his career while in graduate school at SmithKline Beecham Clinical Laboratories, and since then has held positions of increasing scope and responsibility where he has partnered with management to drive positive employee engagement and performance, contain costs, and influence & design global compensation and benefits initiatives that support the organization’s business objectives. He currently works fulltime for LivaNova as the Director, Global Total Rewards, and has been an affiliated faculty member at Merrimack College since January 2010 where he teaches the following undergraduate courses: Statistical Methods in Psychology, Applied Psychological Research Methods, and Personality.
Katharine Peterson, Acrivon Therapeutics, Inc.
After beginning her career in the life sciences assurance practice at EY, Katie has helped multiple small biotech companies with public company readiness and IPO-directed efforts. She brings over a decade of experience in the biotechnology industry, working on financial management, operations, technical accounting, reporting, and planning. Prior to joining Acrivon, she was Senior Director of Financial Planning & Analysis at Wave Life Sciences, and held various roles in both Finance and Accounting within both Spero Therapeutics and Merrimack Pharmaceuticals. Jennifer Tardif, CEP, ISP Advisors LLC
As an industry leader in building strong relationships and providing top-notch client services, Jen has over 25 years of experience in equity compensation, from both the issuer and service provider perspectives. Jen works with clients on everything from plan design, best practices, employee education, administrator training, to ongoing equity compensation management within the Shareworks by Morgan Stanley platform.

Jen began her career in equity compensation as one of the first employees of a pre-IPO issuer company. During her 16 years there, Jen managed various aspects of corporate administration, through the IPO and beyond, including equity compensation, human resources, investor relations, corporate governance, and executive compensation. Jen was also closely involved with payroll, accounting, and SEC reporting. She also spent over four years at Fidelity focusing on client service in large plan payroll and executive compensation. During Jen’s 13+ years with Shareworks by Morgan Stanley (previously Solium and Transcentive), Jen held a variety of roles including Vice President - Solutions Architect, Product Manager, and Senior Relationship Manager building on her industry knowledge and Shareworks expertise.

Joe Magner has over 15 years of experience in financial services and wealth management industries as a relationship manager, consultant, and attorney. Joe obtained my Bachelor of Science in Economics-Finance from Bentley University, studying abroad in London, England his junior year at Regents College, and a Juris Doctorate from Suffolk University Law School. He also has obtained his Equity Compensation Associate (ECA) designation.
Daniel Rossi, Linde
Dan Rossi has over ten years of experience in compensation as an analyst and manager of executive compensation in the Linde Human Resources department. He obtained a Bachelor of Science in Business Administration from Boston University before beginning his career at Linde as a financial analyst. He is married with a 2-year-old son and resides in Western Connecticut. When he is not writing proxy statements or chasing a toddler around the house, Dan enjoys jogging, swimming, cooking and golf.

Finding the Right Global Employee Equity Plan Mix

Amy Reina, Deloitte
Amy is an attorney and Managing Director in Deloitte Tax’s GES Rewards Practice. Amy has over 20 years of mobility tax experience and has spent the last nineteen years specializing in the area of global equity and incentive compensation.

Amy has led many global projects including the design and implementation of global equity incentive and employee reward programs, expansion of US based programs to overseas locations including assessment of the tax and regulatory implications before global roll-out, implementation of Deloitte’s GA Incentives mobile employee tax withholding and reporting technology, and the implementation of corporate recharge arrangements to generate corporate tax deduction in non-US locations. Amy also assists clients in ensuring proper withholding methodologies are implemented to facilitate payroll tax compliance, addressing their mobile employee equity compliance responsibilities, and examining international aspects involved in mergers and acquisitions.

Amy has a B.A. from Mount Holyoke College and received a J.D. and M.B.A. from Quinnipiac University. She is a member the National Association of Stock Plan Professionals, serves on the Boston Leadership Committee of the Global Equity Organization and is a Certified Equity Professional.
Charles Russo, Computershare
Charles Russo is a regional manager for Computershare’s Employee Share Plans business, overseeing a team of relationship managers responsible for a portfolio of corporate clients across a wide range of industries. Since joining Computershare in 2008, Charles has leveraged his experience in the employee compensation business to ensure high levels of quality and satisfaction for all of his clients. Prior to joining Computershare, Charles was with UBS, Bankers Trust and JP Morgan. During his thirty-plus years of financial services experience, he has held positions in relationship management, product management and operations, across various disciplines.

Charles earned his B.S. and MBA in Finance from Fordham University.
Brian Stanton, DL Piper
Brian Stanton is Of Counsel in the San Francisco office of DLA Piper. Brian has spent almost a decade working with US and non-US companies at all stages of growth on complex international tax, regulatory, exchange control, data privacy, and labor law issues related to the expansion and management of their business arrangements, with a specific focus on employee stock plans and other incentive compensation arrangements. Brian also advises companies on the implications of corporate transactions on employee stock plans and incentive awards and on structuring and implementing pre and post-IPO equity compensation arrangements.

Valuations for Non-Valuation Specialists

Jackson Swindells, Infinite Equity
Jackson is a Consultant at Infinite Equity where he assists companies with items such as equity accounting and the valuation of complex securities using option pricing models such as the Monte Carlo Simulation. Prior to joining Infinite Equity Jackson held a role at a Big 4 accounting firm where he was a member of the complex securities practice and specialized in the valuation of securities such as convertible debt, options, warrants, and the valuation of contingent considerations under ASC Topic 805. Jackson earned a Bachelor of Science in Mathematics with minors in Risk Management and Computer Science from La Salle University. Jackson is working towards becoming a Certified Equity Professional. Jackson is based in Philadelphia.
Tom Yarnell, Infinite Equity
Tom is a Director at Infinite Equity, where he assists clients on equity award valuation, accounting, and plan design.

He has over 7 years of experience in compensation and corporate governance with prior roles in corporate executive compensation at a Fortune 100 company and as an advisor at ISS Corporate Solutions. He’s spoken at a variety of industry events on incentive program design topics. Tom earned the Chartered Financial Analyst designation in 2014 and has a Bachelor of Science in Finance from St. Joseph’s University. Tom is based in Maryland, outside of Washington, DC.

Technology vs. the World: ESPP Edition

Barbara Baksa, CEP, NASPP
Barbara Baksa serves as Executive Director for the National Association of Stock Plan Professionals (NASPP) and is a respected leader in the field of equity compensation. She is an acknowledged expert in the tax laws, accounting principles, and securities laws that apply to stock compensation programs, as well as design and administrative considerations for these plans. She is frequently quoted on stock compensation-related topics in both local and national media.

She regularly speaks and writes on equity compensation topics and has contributed chapters to four books on equity compensation. She is the author of the book “Accounting for Equity Compensation,” published by the National Center for Employee Ownership and a required text for the Certified Equity Professionals exam. Barbara publishes frequent blogs and videos on equity compensation topics which appear on the NASPP’s LinkedIn and YouTube pages. Barbara also serves as editor of The NASPP Advisor.
Greg Kopp, Deloitte
Greg has 30 years of experience providing human resources and executive compensation consulting services to senior management and Boards across a broad range of industries, in both private equity and corporate transactions (IPOs and M&A) and non-transactional situations. He also has corporate in-house experience leading the compensation function for two publicly-traded alternative asset management firms, including leading the compensation team through an IPO and as a member of the global communications team.

Greg combines his experiences in consulting and corporate human resources to provide strategic, practical, and implementable solutions. He works with companies across industry to evaluate, design, and implement compensation programs that align the organization’s business strategy with the management team that is tasked with executing the strategy.

His recent projects have emphasized his experience in IPOs, helping HR teams to drive value and manage enterprise risk through IPO workforce planning and costing, executive and equity plan design, stock plan administration implementation, and employee communications.
