Equity Compensation in 2025: Adapting to a New Era

Three years ago, in the wake of the COVID pandemic, we shared our thoughts and predictions on the evolving landscape of equity compensation with the New England NASPP Summit. Little did we know how much could change in such a short time. This year, with the arrival of a new presidential administration, it’s time to reassess the equity compensation landscape. Market volatility and other macroeconomic and social factors continue to influence equity incentives. Technologies such as artificial intelligence and digital assets are advancing rapidly, though their implications for our beloved industry aren’t always clear.

 

In this dynamic and sometimes chaotic environment, compensation professionals have been tasked with construction of new disclosures like pay vs. performance and are now forced to prepare for disaggregation of the income statement, which will dramatically impact the way compensation is presented in the company’s financials in years to come. In this rapidly changing landscape, staying informed about court cases, SEC comment letters, rulemaking and enforcement actions is even more crucial than before.

Zachary Doyle is the Senior Director of Global Compensation at Vertex, where he leads the company’s broad-based compensation strategy. With expertise across broad-based, executive and equity compensation, he has played a key role in the evolution of Vertex’s total rewards programs as the company has grown >1000% from a $10B market cap to >$120B market cap biotech. A trusted M&A partner, he has lead total rewards diligence and integration efforts for five acquisitions, helping to ensure scalable, forward-looking compensation strategies that support sustained growth and business continuity.
Wells Miller, Akin
Wells Miller is a partner in the Compensation practice at Akin, with a focus on equity plan design and implementation. He is highly experienced with the tax and securities rules governing equity compensation in public and private corporations, funds and operating partnerships, including carry and profits interests. Wells’s practice includes the representation of individual executives throughout their careers, particularly during the negotiation of new employment and equity agreements as well as separations.
Nathan O'Connor, Equity Methods
Nathan O’Connor is a Managing Director at Equity Methods, a consultancy that helps hundreds of public and private companies model, value and account for equity compensation and other complex securities. As the first point of contact for prospective clients, Nathan brings over a decade of quantitative consulting experience to bear in collaborating with the Valuation, Reporting, and HR Advisory practices within Equity Methods to ensure that prospective clients’ needs are met. As a liaison between the company and the broader compensation community, he shares best practices at industry events throughout the country and through publishing technical articles. Prior to his current role, Nathan served as the national valuation practice leader at Equity Methods, where he oversaw all client delivery, operations, and R&D in support of more than 400 public and private clients, in addition to directly serving the compensation consultants and senior executives of several Fortune 50 companies.

Brooke Anderson, CEP, Charles Schwab
Brooke has 25 years of experience in the equity compensation industry with extensive knowledge of plan design, administration and taxation for equity plans. Brooke has been a Client Service Manager at Charles Schwab since 2021. Prior to joining Schwab, she held positions as a Sr Client Service Manager at Certent, and prior to obtaining that role, she was an Implementation Manager at Certent for 10 years. She also held various roles at Transcentive/Computershare in Support, Sales and Relationship Management. Brooke earned her CEP designation in 2019 and has been a speaker at several industry events such as the Annual NASPP Conference, The NASPP NE Summit, CEPI Symposium and local NASPP Chapter Meetings.
Jennifer Francis, CEP, Aon
Jen Francis is a Director within Aon’s Executive and Board Advisory practice, specializing in employee education, video creation and print communications in the stock plan and total rewards space. Jen started in the industry in 2000 working with software service providers and the NASPP. During her career she has worked in several areas including: consulting, training, product strategy and product management. Jen earned her CEP designation in November 2005 and is a volunteer for the Certified Equity Professional Institute (CEPI), serving on the certification council for CEP Institute, and serves as the Treasurer for the CT NASPP Chapter.
Rees Franklin lll, Affirm
Rees Franklin is an Equity Operations Manager with over 20 years of global equity program experience overseeing corporate stock programs across diverse industries. They specialize in the end-to-end administration of equity plans, including stock options, RSUs, and ESPPs, ensuring seamless execution and compliance in both public and private companies. Chen is a seasoned financial professional with a background in quantitative research and trading. Chen has held front office facing roles at various hedge funds. Previously, he served as a Rates RV Trader at Paloma Partners, where he traded repo and treasury bond basis strategies. Additionally, he worked as a Quantitative Researcher at DGV Solutions, where he developed systematic multi-asset strategies.
Adam Crawford, CEP, Candor
Adam Crawford is a seasoned sales leader currently heading sales at Candor, bringing extensive expertise in venture capital ecosystems. With a distinguished background that includes roles as Executive Director of Venture Sales at J.P. Morgan's Aumni, Adam has developed deep relationships with VC funds throughout his career. Prior to these positions, he demonstrated remarkable growth at Carta, where he was an SMB Account Executive. Adam holds a B.S.B.A. in Finance from the University of Denver (magna cum laude) and maintains credentials as a CEP.

Liz Stoudt, CEP, Infinite Equity
Liz is a Partner at Infinite Equity. With nearly 20 years of experience, Liz advises companies on their equity programs, with a particular love for employee stock purchase programs. Liz leverages an actuarial science background and data analytics to help companies make better design and valuation decisions. Prior to joining Infinite Equity, Liz led the Philadelphia equity compensation consulting team Aon and worked as a pension actuary at Mercer. Liz is a frequent speaker at equity compensation events, serves on the Certified Equity Professional Institute’s Advisory Board, and is the Eastern Regional Representative of the National Association of Stock Plan Professionals (NASPP). Liz has a Bachelor of Science in Actuarial Science from the Pennsylvania State University, is an Associate of the Society of Actuaries (ASA), and is a Certified Equity Professional (CEP). She is based in Philadelphia.
Michelle Tomasetti, CEP, Infinite Equity
Michelle is currently a Partner at Infinite Equity, where she leads the Equity Administration Solutions practice. With over 20 years of expertise in equity compensation, she directs her administration team to provide exemplary, white-glove service to all clients. Prior to joining Infinite Equity, Michelle held influential roles in both financial services and mid-sized biotechnology and pharmaceutical firms. Joe Magner has over 15 years of experience in the financial services and wealth management industries as a relationship manager, consultant, and attorney. He enjoys engaging deeply with his clients and helping them solve their business problems with strategic and creative solutions. Joe obtained his Bachelor of Science in Economics-Finance from Bentley University, studying abroad in London, England his junior year at Regents College, and a Juris Doctorate from Suffolk University Law School. He also obtained his Equity Compensation Associate (ECA) designation in 2023. Joe is married with two young children and a Goldendoodle. He and his family reside in a small town on the South Shore of Massachusetts. Lindsay Minnis, Baker McKenzie
Lindsay Minnis is a partner at Baker McKenzie in the Employment and Compensation practice. Lindsay leads the New York Office's Global Equity Services practice, which assists multinational companies of all sizes with the design, implementation and administration of their equity compensation plans. Lindsay is a frequent speaker and commentator on global equity topics, in venues including the National Association of Stock Plan Professionals, the Global Equity Organization and the New York Compensation Association. Lindsay focuses her practice on international compensation and benefit programs for global companies. She advises on program design, implementation and compliance issues, including tax considerations, securities filing and disclosure requirements, exchange control rules, labor law exposure, data privacy concerns and other legal issues involved with offering incentive programs in different jurisdictions. She also counsels clients on the effects of mergers, reorganizations, spin-offs or other complex corporate transactions in relation to their benefit and incentive arrangements.

Charles Russo is a regional manager for Computershare’s Plan Management business, overseeing a team of relationship managers responsible for a portfolio of corporate clients across a wide range of industries. Since joining Computershare in 2008, Charles has leveraged his experience in the employee compensation business to ensure high levels of quality and satisfaction for all of his clients. Prior to joining Computershare, Charles was with UBS, Bankers Trust and JP Morgan. During his thirty-plus years of financial services experience, he has held positions in relationship management, product management and operations, across various disciplines. Charles earned his B.S. and MBA in Finance from Fordham University.

Barbara Baksa, CEP, NASPP
Barbara Baksa serves as Executive Director for the National Association of Stock Plan Professionals (NASPP) and is a respected leader in the field of equity compensation. She frequently speaks on stock compensation related topics, is the author of the book “Accounting for Equity Compensation,” published by the NCEO and a required text for the CEP exam, as well as numerous other articles and white papers. Barbara is a CEP, a member of the Advisory Board of the CEP Institute, and an Executive Fellow of the Institute for the Study of Employee Ownership and Profit Sharing at Rutgers University School of Management and Labor Relations.
Greg Kopp, Deloitte Tax LLP
Greg has 30 years of experience providing human resources and executive compensation consulting services to senior management and Boards across a broad range of industries, in both private equity and corporate transactions (IPOs and M&A) and non-transactional situations. He also has corporate in-house experience leading the compensation function for two publicly-traded alternative asset management firms, including leading the compensation team through an IPO and as a member of the global communications team.

Greg combines his experiences in consulting and corporate human resources to provide strategic, practical, and implementable solutions. He works with companies across industry to evaluate, design, and implement compensation programs that align the organization’s business strategy with the management team that is tasked with executing the strategy.

His recent projects have emphasized his experience in IPOs, helping HR teams to drive value and manage enterprise risk through IPO workforce planning and costing, executive and equity plan design, stock plan administration implementation, and employee communications.

John Hammond, CEP, Aon
John Hammond is an Associate Partner with Aon Equity Services leading the Communications Practice which focuses primarily on video and print material creation and employee education in the equity and broader compensation space. John has been in the equity plan space for 25 years and joined Aon in 2017. Prior to joining the equity plan industry, John was a financial planner and advisor for 10 years.

John has been a speaker at a variety of meetings and conferences on a wide range of issues surrounding equity compensation, communication, administration, and reporting requirements. John has been an active member of NASPP since 1999. John has also been a member of GEO since shortly after its formation in 1999, attending its first international conference in 2000 and having been a speaker at international events on 3 continents.

John has served in a variety of industry leadership roles including NASPP officer roles and president of both the Philadelphia and Carolina chapters. John served as a member of the NASPP Executive Advisory Committee for 6 years and received a NASPP 10-year service award in 2017 and an Individual Achievement Award in 2018. Additionally, John earned his Certified Equity Professional (CEP) designation in 2000 and served on the CEP Advisory Board from 2010 – 2017 and chaired the board from 2013 – 2014. John became a Fellow of Global Equity in 2020, recognized for his high level of experience, significant industry knowledge and ability, and for his positive impact on the global share ownership community.
Dave Lanka, CEP, Bank of America
Dave is an Equity Plan Specialist in the Workplace Benefits group at Bank of America. In order to assist companies in finding the appropriate solutions for their corporate stock plans, Dave leverages over 35 years of experience in sales, relationship management, plan administration services and consulting for equity compensation and retirement plans.

Dave holds a BA in Economics with a concentration in Finance from Rutgers University, and in 2003, he earned the Certified Equity Professional (CEP) designation. In addition, he holds FINRA Series 7 and 66 registrations. Dave voluntarily served on the Technical Oversight Board for multiple GPS: Guidance | Procedures | Systems research projects conducted by the Certified Equity Professional Institute (CEPI) on topics including Global Stock Plans, Performance Awards, Employee Stock Purchase Plans, and Participant Education and Communication. He also is a member of the National Association of Stock Plan Professionals (NASPP) New York/New Jersey chapter board.

Dave resides in New Jersey with his wife and his two sons, and when he is not working, Dave enjoys coaching youth sports, teaching both typical and special needs individuals.

Certified Equity Professionals (CEPs) may earn continuing education credit for attendance. CEPs must keep their own records of their attendance, including the specific sessions attended, so they can report this information to the CEP Institute when required.

Continuing Professional Education (CPE) credits are available for those who attend this conference. Requirements to obtain these credits will be announced at the event’s opening. These credits would fall under the “Group-Live” delivery type under the “Specialized Knowledge” field of study. The maximum number of credits that can be earned at this event is Six (6).

The National Association of Stock Plan Professionals (NASPP) is registered with the National Association of State Boards of Accountancy (NASBA) as a sponsor of continuing professional education on the National Registry of CPE Sponsors. State Boards of Accountancy have final authority on the acceptance of individual courses for CPE credit. Complaints regarding registered sponsors may be submitted to the National Registry of CPE Sponsors through its web site: www.nasbaregistry.org.

In addition to CPE Credits (for CPAs), there will also be CE credits available for those with the CEP or ECA designation.
